Filterventory should review these terms with legal counsel before launch to confirm they fit its final corporate structure and jurisdiction.

Agreement and Acceptance
These Terms of Service (the "Terms") govern access to and use of the Filterventory survey-to-service software platform (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms on behalf of the company you represent (the "Customer"). If you do not agree, do not use the Service. The individuals who use the Service on a Customer’s behalf ("Users") must be authorized by that Customer, and the Customer is responsible for their compliance with these Terms.
Description of Service
Filterventory provides software that turns building and filter survey data into filter schedules, due-date dashboards, and service-visit records. The Service is provided on a subscription basis and may be updated, enhanced, or modified from time to time. We may add, change, or remove features, provided we do not materially reduce the core functionality of a paid plan during a billing period.
Accounts and Organizations
To use the Service, a Customer creates an organization account and invites Users. The Customer is responsible for maintaining the confidentiality of account credentials, for all activity that occurs under its organization, and for ensuring its Users keep credentials secure. You must provide accurate account information and promptly update it as needed. You must notify us of any unauthorized use of your account.
Acceptable Use
You agree not to misuse the Service. You will not: access the Service to build a competing product; reverse engineer, decompile, or attempt to extract source code except as permitted by law; upload malicious code or interfere with the integrity or performance of the Service; attempt to gain unauthorized access to the Service or related systems; use the Service to store or transmit unlawful, infringing, or harmful content; or use the Service in violation of applicable laws or the rights of others.
Customer Data and Ownership
As between the parties, the Customer retains all ownership of its account data and all Facility Data it submits to the Service. The Customer grants Filterventory a limited, non-exclusive license to host, process, and display that data solely to provide and support the Service. The Customer is responsible for the accuracy, quality, legality, and its rights to use and submit any data it provides, and for ensuring it has obtained all necessary permissions to do so.
Subscription Plans, Billing, and Payment
The Service is offered on monthly subscription plans tiered by the number of filter positions — Starter, Route, Growth, and Regional. Fees are billed monthly in advance and processed through our payment provider, Stripe. Subscriptions automatically renew each month unless cancelled before the renewal date. If your filter position count exceeds the limits of your current plan, we may require you to upgrade to an appropriate tier. Fees are non-refundable except as required by law. You may cancel at any time, with cancellation taking effect at the end of the then-current billing period.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FILTERVENTORY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND DOES NOT GUARANTEE THAT FILTER SCHEDULES, REPLACEMENT INTERVALS, OR NEXT-DUE DATES ARE ACCURATE OR ERROR-FREE. THE CUSTOMER IS RESPONSIBLE FOR VERIFYING ALL SCHEDULES AND DATA AGAINST ACTUAL FIELD CONDITIONS BEFORE RELYING ON THEM.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILTERVENTORY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. FILTERVENTORY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO FILTERVENTORY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
The Customer will defend, indemnify, and hold harmless Filterventory and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the Customer’s data, the Customer’s or its Users’ use of the Service, or the Customer’s violation of these Terms or applicable law.
Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate a subscription in accordance with the cancellation terms above. We may suspend or terminate access for material breach of these Terms, non-payment, or use that poses a risk to the Service or other customers. Upon termination, your right to access the Service ends; provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.
Modifications to Terms
We may update these Terms from time to time. For material changes, we will notify Customers by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the courts located in Ontario, Canada for any dispute arising out of or related to these Terms or the Service.
